1) Overview

These Terms & Conditions ("Terms") govern your access to and use of the VerifiedPep™ LLC website, including all purchases made through it. By accessing this site or placing an order, you agree to be bound by these Terms, our Legal Disclaimer, and our Refund & Return Policy. If you do not agree, do not use this site.

2) Eligibility & Accounts

You must be at least 21 years of age and a qualified research professional to create an account or place an order. By registering, you represent and warrant that you meet these requirements.

• An account is required to browse products and place orders
• You are responsible for maintaining the confidentiality of your account credentials
• We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion

3) Research-Use Only

All products sold through this website are intended strictly for in-vitro laboratory research use only. Products are not intended for human consumption, animal use, injection, inhalation, compounding, clinical use, diagnostic purposes, cosmetics, or food and drug applications.

Products have not been evaluated or approved by the FDA or any other regulatory body. The buyer assumes full responsibility for proper handling, storage, disposal, and compliance with all applicable laws and regulations.

4) No Medical Advice

VerifiedPep™ is not a pharmacy, medical provider, or healthcare facility. We do not provide medical advice, dosing instructions, reconstitution guidance for human use, or any form of clinical recommendation.

It is the researcher's sole responsibility to handle all materials in accordance with their institution's safety protocols and all applicable local, state, and federal laws. The purchaser assumes all risk and liability associated with the use, handling, storage, and disposal of products purchased from this site.

5) All Sales Are Final

Due to the nature of these materials, all sales are final. We do not accept returns or exchanges. Please review our full Shipping & Returns Policy for details on handling damaged items or shipping issues.

6) Ordering, Pricing & Availability

• All prices are listed in U.S. dollars and are subject to change without notice
• Product availability is not guaranteed and may change at any time
• We reserve the right to limit order quantities or refuse any order
• Lot-to-lot variation may occur within acceptable tolerance ranges. A Certificate of Analysis (COA) is provided for each lot
• Errors in pricing or product descriptions do not obligate us to fulfill orders at incorrect prices
• Receipt of an order confirmation email does not constitute acceptance of your order. We reserve the right to cancel any order after confirmation for any reason, including pricing errors, stock issues, or suspected fraud

7) Payments, Taxes & Chargebacks

Payment is processed securely through a PCI-compliant payment processor. We accept Visa, Mastercard, American Express, and Discover.

• We do not store your credit card number. Payment details are handled via tokenized, PCI-compliant processing
• You are responsible for any applicable sales tax, use tax, or other taxes associated with your purchase
• Fraudulent chargebacks will result in immediate account suspension. We reserve the right to pursue all available legal remedies

8) Shipping & Risk of Loss

• All orders ship within the United States only
• We do not ship to PO boxes or mail forwarding services
• Risk of loss and title for products transfer to you upon carrier pickup
• It is your responsibility to provide an accurate shipping address at checkout. We are not responsible for orders shipped to incorrect addresses
• Delivery timelines are estimates and are not guaranteed. Carrier delays are outside our control

9) Inspection & Acceptance

You must inspect all products upon delivery and report any issues (damage, incorrect items, missing items) within 3 business days of receipt. Reports must include your order number, clear photographs, and a description of the issue.

If no issue is reported within this timeframe, the order is deemed accepted in full and no further claims may be made.

10) Returns & Refunds

Due to the nature of research products, all sales are final. We do not accept returns or exchanges. For complete details, please review our Refund & Return Policy.

Order cancellations: You may request cancellation within 30 minutes of placing your order by contacting us at support@verifiedpep.com. After 30 minutes, or once an order has been processed for shipment, it cannot be canceled.

11) Limited Warranty & Disclaimers

We warrant that products will conform to the specifications stated on the applicable Certificate of Analysis at the time of shipment. This warranty is exclusive and in lieu of all other warranties, express or implied.

Our sole and exclusive remedy for breach of this warranty is, at our option, replacement of the affected product or a refund of the purchase price for the affected item.

Except as expressly stated above, all products are provided "AS IS" without any warranties of any kind, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

12) Limitation of Liability & Indemnity

To the maximum extent permitted by law, VerifiedPep™ LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or related to your use of products or this website.

Our total aggregate liability for any claim arising from or related to a purchase shall not exceed the purchase price of the specific product(s) giving rise to the claim.

You agree to indemnify, defend, and hold harmless VerifiedPep™ LLC, its officers, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use or misuse of products, violation of these Terms, or violation of any applicable law.

13) Site Use & Intellectual Property

All content on this website, including text, graphics, logos, images, product descriptions, and software, is the property of VerifiedPep™ LLC and is protected by applicable intellectual property laws.

• You may not copy, reproduce, distribute, scrape, or create derivative works from any content on this site without our prior written consent
• Reverse engineering, decompiling, or disassembling any part of this website or its underlying technology is strictly prohibited
• Automated access (bots, scrapers, crawlers) is prohibited without our express permission

14) Compliance, Resale & Export

You are solely responsible for ensuring that your purchase, use, handling, and disposal of products complies with all applicable federal, state, and local laws and regulations.

• Products are not intended for resale. If you resell or redistribute products, you assume all responsibility for regulatory compliance
• You shall not export or re-export products in violation of U.S. export control laws or the laws of any other jurisdiction

15) Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. VerifiedPep™ LLC is a Delaware limited liability company with its principal place of business in Florida.

Subject to the arbitration provisions below, any disputes arising out of or related to these Terms or your use of this website shall be resolved exclusively in the state or federal courts located in Palm Beach County, Florida. You consent to the personal jurisdiction and venue of such courts.

16) Binding Arbitration & Class Action Waiver

Agreement to Arbitrate: You and VerifiedPep™ LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, your use of this website, or products purchased through it shall be resolved by binding individual arbitration rather than in court, except as provided below.

Arbitration Rules: Arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in Palm Beach County, Florida. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Small Claims Exception: Either party may bring an individual action in small claims court in Palm Beach County, Florida, if the claim qualifies for small claims jurisdiction.

Class Action Waiver: You agree that all disputes will be resolved on an individual basis only. You waive any right to participate in a class action, collective action, or representative proceeding, whether in court or in arbitration.

Costs: Each party shall bear its own attorney's fees and costs unless the arbitrator determines that a claim was frivolous, in which case the arbitrator may award reasonable fees to the prevailing party.

17) Changes, Severability & Assignment

We reserve the right to update or modify these Terms at any time without prior notice. Changes become effective upon posting to this page. Your continued use of the site following any changes constitutes acceptance of the updated Terms.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

18) Referral Program

VerifiedPep™ offers a referral program that allows approved customers to earn store credit by sharing a personal referral link or code. In summary:

• Every new buyer receives 10% off their first order via our welcome offer, auto-applied at checkout
• When someone you referred completes their first order, you earn 10% store credit on that order, released as soon as the buyer's payment confirms
• Available store credit may be applied to your own orders at checkout, up to a maximum of 25% of the order subtotal, and is not stackable with discount codes
• Referrers must disclose near any referral link they share that they may earn store credit (FTC disclosure)
• Store credit has no cash value, is non-transferable, and cannot be redeemed for cash or applied to previous orders
• Abuse (self-referrals, fraudulent accounts, or gaming behavior) may result in forfeiture of store credit and account suspension
